Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Spotless Pro, a field service management platform operated by Sodium Studio, LLC (“Sodium Studio,” “we,” “us,” or “our”). By creating an account or using the Spotless Pro platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. About Spotless Pro

Spotless Pro is a software-as-a-service (SaaS) platform designed for window cleaning, pressure washing, and related exterior cleaning businesses. The platform provides tools for lead management, estimating, job scheduling, crew management, invoicing, payment collection, and accounting integration. The platform is accessible via web browser at app.spotlesspro.app and via native iOS, iPadOS, and Android mobile applications.

2. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding contract to use Spotless Pro. By using the platform, you represent that you meet these requirements. Spotless Pro is intended for use by business operators and their authorized employees or contractors. Use of the platform for personal, non-commercial purposes is not permitted.

3. Accounts

3.1 Registration

To use Spotless Pro, you must create an account by providing accurate and complete information including your name, business name, email address, and billing information. You are responsible for maintaining the accuracy of this information and updating it as needed.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at contact@spotlesspro.app if you become aware of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from unauthorized access to your account.

3.3 Organization Accounts

Spotless Pro operates on an organization model. When you create an account, you establish an organization. You may invite crew members or other users to your organization, subject to the permissions and roles defined within the platform. You are responsible for all activity conducted by users within your organization.

4. Subscriptions and Billing

4.1 Plans

Spotless Pro is offered on a subscription basis. Current plan options and pricing are displayed at spotlesspro.app/pricing. Pricing is subject to change with reasonable advance notice.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis depending on the plan you select. By providing payment information, you authorize Sodium Studio to charge your payment method for the applicable subscription fees. All payments are processed by Stripe, Inc. Sodium Studio does not store your credit card number or other sensitive payment card information.

4.3 Free Trial

We may offer a free trial period for new subscribers. At the end of the trial period, your subscription will automatically begin and your payment method will be charged unless you cancel before the trial ends.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at contact@spotlesspro.app. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods.

4.5 Late Payment

If payment cannot be collected from your payment method, we reserve the right to suspend or terminate your access to the platform until payment is received.

5. Acceptable Use

5.1 Permitted Use

You may use Spotless Pro solely for lawful business purposes consistent with these Terms and all applicable laws and regulations.

5.2 Prohibited Use

You agree not to:

  • Use the platform in any way that violates applicable federal, state, or local laws or regulations
  • Upload, transmit, or store any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable
  • Attempt to gain unauthorized access to any part of the platform or its underlying infrastructure
  • Use the platform to send unsolicited commercial messages or spam
  • Reverse engineer, decompile, or disassemble any portion of the platform
  • Use automated means to access or scrape the platform without our prior written consent
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the integrity or performance of the platform or its related systems

6. Your Data

6.1 Ownership

You retain ownership of all data you input into Spotless Pro, including customer information, job records, estimates, invoices, photos, and other content (“Your Data”). We do not claim any ownership rights in Your Data.

6.2 License to Us

By using Spotless Pro, you grant Sodium Studio a limited, non-exclusive license to store, process, and display Your Data solely as necessary to provide the platform services to you. We do not use Your Data for any purpose other than providing and improving the platform.

6.3 Your Responsibilities

You are solely responsible for the accuracy, quality, legality, and appropriateness of Your Data. You represent that you have obtained all necessary consents and permissions required to provide Your Data to us and to use it within the platform, including any personal information of your customers, employees, or contractors.

6.4 Data Retention

Upon cancellation of your account, we will retain Your Data for a period of 30 days to allow you to export it. After this period, Your Data may be permanently deleted. We strongly encourage you to export your data before cancelling.

7. Customer Data and End-User Privacy

Spotless Pro allows you to store information about your own customers (“End-User Data”), including names, contact information, service addresses, and payment records. You are the data controller for End-User Data. You are responsible for providing your customers with appropriate notice about how their information is collected and used, and for complying with all applicable privacy laws in your jurisdiction with respect to End-User Data. Sodium Studio processes End-User Data only as a data processor on your behalf, in accordance with our Privacy Policy.

8. Payment Processing

Spotless Pro integrates with Stripe, Inc. to enable you to accept payments from your customers through the platform. When you connect a Stripe account through Spotless Pro, you are also subject to Stripe’s Terms of Service and Connected Account Agreement. Sodium Studio is not a party to payment transactions between you and your customers and is not responsible for any disputes, chargebacks, or other issues arising from those transactions. Payment processing fees are charged by Stripe directly and are separate from your Spotless Pro subscription.

9. SMS Communications

Spotless Pro provides SMS functionality through Twilio, Inc. to allow you to send job reminders, estimate notifications, and other business communications to your customers. By using the SMS features of the platform, you represent that you have obtained all legally required consents from your customers to receive SMS messages from you, and that your use of SMS through the platform complies with all applicable laws and regulations including the Telephone Consumer Protection Act (TCPA). You are solely responsible for compliance with SMS marketing and notification laws. Sodium Studio is not liable for any claims arising from your use of the SMS features.

10. Photos and File Storage

Spotless Pro allows you to upload and store photos and other files, including before and after job photos, property photos, and estimate and invoice PDFs. You represent that you have the right to upload any content you submit to the platform and that such content does not violate the rights of any third party. We reserve the right to remove any content that violates these Terms.

11. Third-Party Services

Spotless Pro integrates with third-party services including Stripe (payments), Twilio (SMS), Resend (email), Supabase (database and storage), QuickBooks Online, and FreshBooks. Your use of these integrations is subject to the terms and privacy policies of those third parties. We are not responsible for the practices or content of any third-party services.

12. Intellectual Property

12.1 Our Property

Spotless Pro, including the platform software, design, trademarks, and all content created by Sodium Studio, is the proprietary property of Sodium Studio, LLC. Nothing in these Terms grants you any rights in the platform other than the limited license to use it as described herein.

12.2 Feedback

If you provide us with feedback, suggestions, or ideas about the platform, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation to you.

13. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SODIUM STUDIO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SODIUM STUDIO, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless Sodium Studio, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in connection with: (a) your use of the platform; (b) Your Data; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your interactions with your customers.

16. Termination

16.1 By You

You may terminate your account at any time by cancelling your subscription and ceasing use of the platform.

16.2 By Us

We reserve the right to suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, if your account poses a security risk, or for any other reason at our sole discretion. In the event of termination for cause, you will not be entitled to a refund.

17. Modifications to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the platform and updating the “Last Updated” date above. Your continued use of the platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the platform and cancel your subscription.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Massachusetts, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the platform shall be resolved exclusively in the state or federal courts located in Massachusetts, and you consent to the personal jurisdiction of such courts.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sodium Studio with respect to the platform and supersede all prior agreements and understandings.

19.2 Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

19.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights under these Terms without restriction.
